Terms of Service

1. Eligibility and Account Use

You must be at least 18 years old (or the age of majority in your jurisdiction) to use our services. You agree to provide accurate information and to use our services only for lawful purposes and in accordance with these Terms.

If you use our services on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. Our Services

XplainAI provides enterprise AI visual experience tools, including bill explanation walkthroughs, agentic UI, and AI avatar interactions. Features may change over time. We may modify, suspend, or discontinue any part of our services with reasonable notice where practicable.

Unless otherwise agreed in writing, our services are provided on an "as is" and "as available" basis.

3. SMS and Mobile Messaging Program

Xplain.AI LLC may send SMS text messages to mobile numbers you provide when you opt in through one of our supported consent methods, including during a phone call with our virtual assistant or support line, by texting a keyword to our number, or by sending an inbound message to our number where that option is advertised.

3.1 Message Purpose and Frequency

Messages are transactional and service-related. They may include secure links to your active visual support session, session status updates, and related account or service notifications tied to your current interaction with XplainAI. Message frequency varies based on your use of our services and active support sessions.

3.2 Consent

By providing your mobile phone number and agreeing to receive SMS messages through our opt-in process, you consent to receive text messages from Xplain.AI LLC for the purposes described above. Consent to receive SMS is not a condition of purchasing any goods or services from us or from our enterprise customers.

3.3 Opt-Out and Help

• STOP: Reply STOP at any time to cancel SMS messages from Xplain.AI LLC. After you send STOP, we will send a one-time confirmation that you have been unsubscribed. No further messages will be sent unless you opt in again.

3.4 Carrier Charges and Delivery

Message and data rates may apply. Carriers are not liable for delayed or undelivered messages. Supported carriers include major U.S. wireless carriers; availability may vary.

3.5 Privacy

Our collection and use of mobile and SMS-related information is described in our Privacy Policy. Your mobile information will not be sold or shared with third parties for promotional or marketing purposes, as further described there.

4. Acceptable Use

You agree not to:

• Use our services in violation of applicable laws or regulations.
• Attempt to gain unauthorized access to our systems or other users' data.
• Interfere with or disrupt the integrity or performance of our services.
• Reverse engineer, copy, or misuse our proprietary technology except as permitted by law.
• Use our services to send spam, unlawful content, or misleading communications.

5. Intellectual Property

All content, software, trademarks, and materials provided through our services are owned by Xplain.AI LLC or our licensors and are protected by intellectual property laws. You receive a limited, non-exclusive, non-transferable license to use our services as intended under these Terms. No other rights are granted.

6. Third-Party Services

Our platform may integrate with third-party services such as messaging platforms, analytics providers, and enterprise systems. Your use of those services may be subject to separate terms and privacy policies maintained by the respective providers. We are not responsible for third-party services we do not control.

7. Disclaimer of Warranties

To the fullest extent permitted by law, Xplain.AI LLC disclaims all warranties, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that our services will be uninterrupted, error-free, or completely secure.

8. Limitation of Liability

To the fullest extent permitted by law, Xplain.AI LLC and its officers, directors, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, or goodwill, arising from or related to your use of our services. Our total liability for any claim arising under these Terms will not exceed the greater of one hundred U.S. dollars (USD $100) or the amount you paid us for the applicable service in the twelve (12) months before the event giving rise to the claim.

9. Indemnification

You agree to indemnify and hold harmless Xplain.AI LLC from claims, damages, losses, and expenses (including reasonable attorneys' fees) arising from your misuse of our services or violation of these Terms.

10. Governing Law

These Terms are governed by the laws of the State of North Carolina, United States, without regard to conflict-of-law principles. You agree that exclusive jurisdiction for disputes relating to these Terms will lie in the state or federal courts located in North Carolina, unless otherwise required by applicable law.

11. Changes to These Terms

We may update these Terms from time to time. The updated version will be posted at https://www.xplainai.io/terms with a revised "Last Updated" date. Your continued use of our services after changes become effective constitutes acceptance of the updated Terms.
